JRW Utility Plc. (“JRW”)
was founded by Mr. Jaran Wiwatjetsadawut
on 2 November 1993 with Bt1 million in registered
capital to provide the total telecommunication
solutions that includes designing, supplying,
installing, testing, consultancy as well
as repair and maintenance services. JRW
has been growing up well upon the customers’
trusts and hence increased revenue since
The Company registered its incorporation
on 2 November 1993 under the name JRW
Utility Co. Ltd. with Bt1 million in
registered and paid-up capital for 10,000
ordinary shares, Bt100 par value each.
Initially done were the subcontracting
works about the constructing of signal
cables, fiber and copper wires including
towers, all of which were the Outside
Plant (OSP) works, and preparation
of the equipment-installed site.
The registered and paid up capital were
increased for several times to Bt75
million in 2003.
Jaya Soft Vision Co. Ltd.
was jointly set up in January
2006 to run the online game
business with Bt5 million in
registered capital, divided
into 500,000 ordinary shares
at Bt10 par value. The Company
held 225,000 shares or 45 per

The contract of sole exchange
equipment distributor with Nokia
Siemens Networks (Thailand)
was signed in September 2007.
The joint investment to
set up JRW Network Solutions
Co. Ltd. was carried in September
2007 to maneuver the telecommunication
system design and installation
at Bt20 million in the registered
capital, divided into 2 million
ordinary shares at Bt10 par
each. The Company held 0.6 million
shares or 30 per cent of the
registered and paid up capital.
The arch businesses were diverted from
the subcontracting works of tower and
cable system installing to the labor
intensive designing, selling and installing
of the telecommunication system under
the cooperation with JRW Network Solutions
Co. Ltd. which were skilled in the field.
In February 2008, the Company started
to do the designing works and selling
the core control equipment from TOT
Plc. and acquired 6 contracts of the
turnkey and installing of the equipment
in main exchange plans for the amount
of Bt223.62 million.
The registered and paid
up capital climbed up to Bt159
million in February 2008 by
issuance of 0.51 million new
shares at Bt100 par with the
aim of (1) purchasing the land
in Lam Lukka district, Pathumthani
Province, to erect the warehouse
for business expansion, (2)
paying off borrowings to Directors,
and (3) spending it on business
expansion. The increase in the
paid up capital was registered
at the Ministry of Commerce
on 7 February 2008.
Jaya Soft Vision Co. Ltd.
increased its registered capital
by issuing the new 0.5 million
shares at Bt10 par value each.
The Company did not make purchase
and hence the investment in
that firm dipped to 48.33 per

and Jasmin Telecom Systems Plc.

Company on May 2009 to carry
out the installation of IP Broadband
equipment for TOT Plc. in the
